End-User License Agreement

1. Agreement to Terms

This End-User License Agreement ("Agreement") is a legal agreement between you ("User") and Restaurant Tools ("Company," "we," "us," or "our") governing your use of the better.restaurant platform, including all associated web applications, APIs, and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by this Agreement. If you do not agree, do not use the Service.

2. License Grant

Subject to the terms of this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes related to restaurant management and analytics.

3. Account and Access

• You must provide accurate and complete registration information
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account
• You may invite team members to access your restaurant's data; you are responsible for managing their access

4. Permitted Use

You may use the Service to:

• Connect your point-of-sale systems and financial software to import restaurant data
• View analytics, reports, and insights generated from your data
• Manage team access to your restaurant's analytics
• Export reports and data for your internal business use

5. Restrictions

You may not:

• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to develop a competing product or service
• Resell, sublicense, or distribute access to the Service
• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Interfere with or disrupt the integrity or performance of the Service
• Use automated means (bots, scrapers) to access the Service except through our documented APIs

6. Your Data

You retain ownership of all data you provide to the Service ("Your Data"). By using the Service, you grant us a limited license to process, store, and display Your Data solely for the purpose of providing the Service to you.

You represent that you have the right to share any data you provide to the Service, including data imported from third-party integrations (e.g., Toast POS, QuickBooks).

7. Third-Party Integrations

The Service integrates with third-party platforms. Your use of these integrations is subject to the respective third party's terms of service. We are not responsible for the availability, accuracy, or policies of third-party services. You may disconnect integrations at any time through the Service's settings.

8. Intellectual Property

The Service, including all software, designs, text, graphics, and other content (excluding Your Data), is owned by Restaurant Tools and protected by intellectual property laws. This Agreement does not transfer any ownership rights to you.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

Analytics and insights provided by the Service are for informational purposes only and should not be considered financial, legal, or professional advice.

10. Limitation of Liability

To the maximum extent permitted by law, in no event shall Restaurant Tools be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Service, regardless of the theory of liability.

Our total liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Termination

Either party may terminate this Agreement at any time. We may suspend or terminate your access to the Service if you violate this Agreement. Upon termination, your license to use the Service ceases immediately. Sections 6, 8, 9, 10, and 13 survive termination.

12. Changes to This Agreement

We may modify this Agreement at any time. We will notify you of material changes by posting the updated Agreement on the Service and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the modified Agreement.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Virginia, without regard to conflict of law principles.
